Item Software (UK) Ltd -v- Fassihi and others: [2004] EWCA Civ 1244

The defendant was a salaried director of the claimant company, which distributed software products. He was paid monthly in arrears. When the claimant was renegotiating its contract with its main customer the defendant secretly approached the customer, proposing to divert the contract to a company that he had established for his own benefit.
